Terms of Use

These Terms of Use ("Terms") govern access to and use of Tokeflow's websites, dashboards, APIs, SDKs, and related services (collectively, the "Service") provided by Tokeflow, LLC ("Tokeflow," "we," "us," or "our"). By accessing or using the Service, you agree to these Terms on behalf of yourself and, if applicable, the organization you represent ("Customer," "you," or "your").

If you do not agree to these Terms, do not use the Service.

1) Who the Service Is For

The Service is intended for business and organizational use only. You represent that you are using the Service for commercial purposes and have authority to bind your organization to these Terms.

2) What Tokeflow Provides (Software Infrastructure Only)

Tokeflow provides software infrastructure for payment orchestration, including tools that help you connect to and operate with multiple payment service providers ("PSPs"), configure routing and operational rules, and standardize operational events and reporting.

Important: Tokeflow is not a bank, payment institution, money transmitter, payment processor, or escrow provider. Tokeflow does not process, transmit, hold, custody, or settle funds. Payment processing and settlement are performed by PSPs that you contract with directly under separate agreements.

Tokeflow is not a party to the financial relationship between you, your end users, and your PSPs.

3) Accounts, Access, and Security

You are responsible for:

  • Maintaining accurate account and business information.
  • Restricting access to authorized personnel only.
  • Protecting credentials, API keys, and secrets.
  • Promptly notifying us if you suspect unauthorized access.

You are responsible for all activity under your account, except to the extent caused by Tokeflow's breach of these Terms.

4) Customer Responsibilities

You agree that you (and not Tokeflow) are solely responsible for:

  • Your products, services, and customer relationships.
  • Your agreements with PSPs, including onboarding, underwriting, and compliance requirements.
  • The accuracy and legality of the transactions you initiate via your PSPs.
  • Obtaining all consents and permissions required to collect, use, and share data with Tokeflow and your PSPs.
  • Compliance with applicable laws and regulations in your business operations (including consumer protection, privacy, and marketing laws).

Tokeflow does not provide legal, tax, or compliance advice.

5) Acceptable Use

You will not (and will not allow others to) use the Service to:

  • Violate any law or regulation.
  • Infringe intellectual property or privacy rights.
  • Transmit malware, engage in exploitation, scanning, or disruptive activity.
  • Attempt to gain unauthorized access to systems or data.
  • Use the Service in a manner that materially interferes with or degrades Service performance.
  • Misrepresent Tokeflow as a payment processor, custodian of funds, financial institution, or regulated money services provider.

We may suspend or terminate access for prohibited or abusive use.

6) APIs, SDKs, and Developer Use

If you use Tokeflow APIs or SDKs, you agree to:

  • Use them only as documented and within applicable rate limits.
  • Not reverse engineer, bypass, or compromise security controls.
  • Not use the Service to scrape, probe, or test for vulnerabilities without written authorization.

We may update APIs, SDKs, or technical requirements from time to time. We will use commercially reasonable efforts to avoid breaking changes without notice for enterprise Customers, where applicable.

7) Third-Party Services (Including PSPs)

The Service integrates with third-party services (including PSPs). Those third parties are not controlled by Tokeflow and may have their own terms, privacy policies, and technical requirements. Tokeflow is not responsible for:

  • PSP availability, uptime, performance, or underwriting decisions.
  • PSP fees, settlement timelines, reserves, chargebacks, or disputes.
  • Any act or omission by third parties.

Your use of third-party services is governed by your agreements with them.

8) Data and Privacy

Our handling of personal data is described in our Privacy Policy, which is incorporated by reference. If you provide data to Tokeflow, you represent that you have all rights and legal bases required to do so.

Where applicable, we may offer a data processing addendum ("DPA") for business customers.

9) Confidentiality

Each party may receive confidential or proprietary information from the other. The receiving party will:

  • Use confidential information only to perform under these Terms.
  • Protect it with reasonable care.
  • Not disclose it except to employees and contractors who need to know and are bound by confidentiality obligations.

Confidentiality obligations do not apply to information that is publicly available through no fault of the receiving party, independently developed, or lawfully received from a third party.

10) Intellectual Property

Tokeflow and its licensors own all rights, title, and interest in and to the Service, including all software, designs, and documentation. Except for the limited rights expressly granted in these Terms, no rights are granted to you.

You may not copy, modify, distribute, sell, or lease any part of the Service, nor attempt to extract source code except to the extent permitted by law.

11) Feedback

If you provide suggestions or feedback, you grant Tokeflow a non-exclusive, worldwide, royalty-free right to use it without restriction or obligation.

12) Fees and Payment Terms

Fees (if any) are set forth in an order form, statement of work, or other written agreement between you and Tokeflow. If you do not have a separate written agreement, the Service may be provided on a limited basis, at our discretion.

Unless otherwise agreed in writing, fees are non-refundable and do not include applicable taxes.

13) Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOKEFLOW DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TOKEFLOW DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT IT WILL INCREASE AUTHORIZATION RATES OR REDUCE LOSSES. OUTCOMES DEPEND ON MANY FACTORS INCLUDING PSP PERFORMANCE AND YOUR CONFIGURATION.

14) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • TOKEFLOW WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.
  • TOKEFLOW'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO TOKEFLOW FOR THE SERVICE IN THE 3 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY (OR, IF NO FEES WERE PAID, USD $100).

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

15) Indemnification

You will indemnify and hold Tokeflow harmless from and against third-party claims arising out of:

  • Your products or services,
  • Your breach of these Terms,
  • Your violation of law, or
  • Your misuse of the Service,

including reasonable legal fees.

16) Suspension and Termination

We may suspend access to the Service if we reasonably believe:

  • Your use poses a security risk,
  • Your use violates these Terms,
  • Continued use could harm Tokeflow or other customers.

You may stop using the Service at any time. We may terminate your access upon notice if you materially breach these Terms and fail to cure within a reasonable period, unless immediate termination is required for security or legal reasons.

17) Changes to These Terms

We may update these Terms from time to time. If changes are material, we will provide notice by updating the "Last Updated" date and, where reasonable, by other means. Continued use of the Service after changes become effective constitutes acceptance.

18) Governing Law; Dispute Resolution

These Terms are governed by the laws of the State of Delaware, excluding conflict of law rules. Any dispute will be brought in the state or federal courts located in Delaware, and you consent to their jurisdiction, unless otherwise agreed in writing.
